Please read these Terms of Service (“Terms”) carefully before using the Luminify platform (“Service”) operated by DJH Media LLC (“Luminify,” “we,” “us,” or “our”), a limited liability company organized under the laws of the State of Florida. By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Eligibility

The Service is available to individuals aged 18 years or older and to businesses with the legal authority to enter into binding agreements. By using the Service, you represent and warrant that you meet these requirements. We reserve the right to terminate accounts that do not meet eligibility requirements.

2. Account Registration

To access the Service, you must create an account by providing accurate, current, and complete information. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to notify us immediately at [email protected] if you suspect any unauthorized use of your account.

3. The Service

Luminify provides an AI-powered platform offering tools for content creation (including image generation, video creation, and voiceover production) and business automation. The Service is provided on a credit-based or subscription basis, as described at the time of purchase.

3.1 Credits and Subscriptions

Credits are consumed each time you use a generation or automation tool
Unused credits may roll over according to your plan terms or expire as specified at checkout
Subscription plans renew automatically unless cancelled prior to the renewal date
Pricing is subject to change with reasonable advance notice

3.2 Service Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. Scheduled maintenance, technical issues, and third-party service disruptions may cause temporary unavailability.

4. User-Generated Content and Intellectual Property

4.1 Your Content

You retain full ownership of all content you generate using Luminify’s tools, including AI-generated images, videos, audio, and other outputs (“Your Content”). By using the Service, you grant Luminify a limited, non-exclusive, non-transferable, royalty-free license to store, process, and transmit Your Content solely for the purpose of providing the Service to you.

4.2 Luminify’s Intellectual Property

All software, user interfaces, brand assets, and underlying technology comprising the Service are the exclusive property of Luminify LLC. Nothing in these Terms grants you any right, title, or interest in Luminify’s intellectual property beyond the limited license to use the Service as described herein.

4.3 Representations Regarding Your Content

You represent and warrant that Your Content does not infringe any third-party intellectual property rights and that you have all necessary rights, licenses, and permissions to generate and use such content through the Service.

5. Acceptable Use Policy

You agree to use the Service only for lawful purposes and in accordance with these Terms. The following uses are strictly prohibited:

Generating, uploading, or distributing content that is sexually explicit, pornographic, or otherwise obscene
Creating deepfakes or synthetic media designed to impersonate, defame, harass, or deceive real individuals without their consent
Generating content that promotes, glorifies, or incites violence, terrorism, or illegal activity
Using the Service to create spam, phishing content, or unsolicited commercial messages
Uploading or generating content that infringes on the copyright, trademark, or other intellectual property rights of any third party
Impersonating any person, business, or entity, including Luminify and its employees
Attempting to reverse-engineer, decompile, or otherwise extract the source code of the Service
Using automated scripts or bots to abuse, exploit, or overload the Service’s infrastructure
Circumventing or attempting to circumvent any security measures, access controls, or credit systems
Using the Service to generate content targeting minors in any harmful, exploitative, or inappropriate manner
Violating any applicable local, state, federal, or international law or regulation

Luminify reserves the right to suspend or terminate any account found to be in violation of this Acceptable Use Policy, with or without prior notice, at our sole discretion.

6. Refunds and Billing

All purchases of credits and subscriptions are generally non-refundable. Luminify will consider refund requests solely in circumstances where a verified technical failure on Luminify’s part renders the Service completely unusable to the user, and such failure is not resolved within a reasonable timeframe.

To request a refund under these circumstances, contact us at [email protected] with a description of the issue, your account information, and the date(s) the Service was unusable. Luminify will evaluate each request on a case-by-case basis and reserves the right to offer credits in lieu of monetary refunds where appropriate.

Chargebacks or payment disputes initiated without first contacting Luminify may result in account suspension.

7. Third-Party Services

The Service integrates with and relies on third-party services to function. These include but are not limited to Stripe (payments), Supabase (database), Cloudflare R2 (storage), and Replicate (AI inference). Your use of those services is governed by their respective terms of service and privacy policies. Luminify is not responsible for the performance, availability, or actions of any third-party service provider.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED ACCESS. LUMINIFY DOES NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE OR THAT AI-GENERATED OUTPUTS WILL BE ACCURATE, COMPLETE, OR FIT FOR ANY PARTICULAR PURPOSE.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, LUMINIFY LLC AND ITS MEMBERS, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, EVEN IF LUMINIFY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

LUMINIFY’S TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS PAID BY YOU TO LUMINIFY IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) FIFTY DOLLARS ($50.00).

10. Indemnification

You agree to indemnify, defend, and hold harmless Luminify LLC and its members, officers, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or in connection with: (a) your use of the Service; (b) Your Content; (c) your violation of these Terms; or (d) your violation of any third-party rights.

11. Termination

Luminify reserves the right to suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. You may terminate your account at any time by contacting us at [email protected]. Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination (including but not limited to Sections 4, 5, 8, 9, 10, and 13) shall survive.

12. Modifications to the Terms

Luminify reserves the right to modify these Terms at any time. When we make material changes, we will notify you via email or a prominent notice on the Service. Your continued use of the Service after the updated Terms take effect constitutes your acceptance of the revised Terms.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions. Any dispute arising under or in connection with these Terms shall be resolved exclusively in the state or federal courts located in the State of Florida, and you consent to the personal jurisdiction of such courts.

14. Entire Agreement

These Terms, together with the Privacy Policy and any other legal notices published by Luminify on the Service, constitute the entire agreement between you and Luminify with respect to your use of the Service and supersede all prior agreements and understandings.
